General Terms and Conditions<\/h2>\t\t\t\t<\/div>\n\t\t\t\t
\n\t\t\t\t\t\t\t\t\t

Article 1 \u2013 Identity of the Service Provider<\/strong><\/p>

The contractor is:<\/p>

Norbert Terlouw, <\/strong>established in Huissen, the Netherlands,
operating under the trade names:<\/p>

  • Norbert Terlouw \u2013 Voice Actor & Voice-over<\/strong><\/li>
  • Booster Media Productions by Norbert Terlouw<\/strong><\/li><\/ul>

    Where these terms refer to \u201cNorbert Terlouw\u201d, this shall also include the above-mentioned trade names and all activities performed under them.<\/p>

    Article 2 \u2013 Applicability<\/strong><\/p>

    1. These general terms and conditions apply to all offers, agreements, deliveries, and services of Norbert Terlouw.<\/li>
    2. Deviations are only valid if agreed upon in writing.<\/li>
    3. The client\u2019s general terms and conditions are expressly excluded, unless agreed otherwise in writing.<\/li><\/ol>

      Article 3 \u2013 Offers and Agreement<\/strong><\/p>

      1. Quotations are non-binding and valid for 14 days<\/strong>, unless stated otherwise.<\/li>
      2. An agreement is concluded after written or digital confirmation by the client.<\/li>
      3. Norbert Terlouw reserves the right to refuse an assignment with stated reasons.<\/li><\/ol>

        Article 4 \u2013 Services<\/strong><\/p>

        Norbert Terlouw provides, among other things:<\/p>

        • voice acting and voice-over services;<\/li>
        • radio news, bulletins, and editorial audio;<\/li>
        • podcast and audio production;<\/li>
        • media productions and editing;<\/li>
        • AI-supported editorial and production processes (Twin Engine<\/strong>);<\/li>
        • engagement of freelancers or third parties under the responsibility of Norbert Terlouw.<\/li><\/ul>

          Article 5 \u2013 Prices and Rates<\/strong><\/p>

          1. All prices are exclusive of VAT<\/strong>, unless stated otherwise.<\/li>
          2. Additional costs (such as travel, location or supplementary studio costs) will be communicated in advance.<\/li>
          3. Changes to script, planning, or assignment may lead to price adjustments.<\/li><\/ol>

            Article 6 \u2013 Delivery and Execution<\/strong><\/p>

            1. Delivery times are determined in consultation.<\/li>
            2. Delays caused by late or incorrect delivery of materials by the client are at the client\u2019s expense.<\/li>
            3. Audio and media productions are delivered in the agreed specifications and formats.<\/li><\/ol>

              Article 7 \u2013 Obligations of the Client<\/strong><\/p>

              The client:<\/p>

              • provides correct scripts, information and instructions in a timely manner;<\/li>
              • holds all necessary rights to supplied materials;<\/li>
              • indemnifies Norbert Terlouw against third-party claims;<\/li>
              • compensates additional costs resulting from changes or delays.<\/li><\/ul>

                Article 8 \u2013 Retakes and Corrections<\/strong><\/p>

                1. Speaking errors are corrected free of charge.<\/li>
                2. One retake on tone-of-voice is included, unless otherwise agreed.<\/li>
                3. Text changes after recording or editing will be invoiced additionally.<\/li><\/ol>

                  Article 9 \u2013 Use and License of Voice-over and Audio<\/strong><\/p>

                  1. Use is limited to the agreed purpose, medium and period.<\/strong><\/li>
                  2. Reuse, expansion, or extension may lead to additional compensation.<\/li>
                  3. Publication is only permitted after full payment, unless otherwise agreed in writing.<\/li><\/ol>

                    Article 10 \u2013 Podcast and Media Productions (Ownership)<\/strong><\/p>

                    1. For commissioned podcast and media productions, the client obtains, after full payment,
                      the ownership and right of use<\/strong> of:
                      • raw recordings;<\/li>
                      • edited final products;<\/li>
                      • agreed deliverables.<\/li><\/ul><\/li>
                      • Norbert Terlouw retains the right to use parts of the work for
                        portfolio, promotional or demonstration purposes<\/strong>,
                        unless confidentiality has been agreed in writing.<\/li>
                      • Working methods, templates, editorial structures, and technical knowledge
                        remain the property of Norbert Terlouw.<\/li><\/ol>

                        Article 11 \u2013 Confidentiality and Handling of Materials<\/strong><\/p>

                        1. Parties shall treat all confidential information strictly confidentially.<\/li>
                        2. Norbert Terlouw stores project material only:
                          • as long as necessary for execution, revision, or administration;<\/li>
                          • in accordance with legal retention obligations.<\/li><\/ul><\/li>
                          • Further destruction or anonymisation of materials takes place
                            only if agreed in writing (for example via NDA).<\/li><\/ol>

                            Article 12 \u2013 AI-supported Services (Twin Engine)<\/strong><\/p>

                            1. AI is used as a supporting tool<\/strong> within editorial, production, and workflow.<\/li>
                            2. Human final editing remains leading for content and publication.<\/li>
                            3. The client acknowledges AI support as part of the service provision.<\/li>
                            4. Final responsibility for publication rests with the client, unless otherwise agreed.<\/li><\/ol>

                              Article 13 \u2013 Intellectual Property<\/strong><\/p>

                              1. Intellectual property rights remain with Norbert Terlouw,
                                except where Article 10 stipulates otherwise.<\/li>
                              2. Unauthorised use may result in damages
                                or additional license fees.<\/li><\/ol>

                                Article 14 \u2013 Payment<\/strong><\/p>

                                1. Invoices must be paid within 30 days<\/strong>.<\/li>
                                2. In case of late payment, statutory interest and collection costs may be charged.<\/li>
                                3. In case of non-payment, the use of delivered content may be suspended or terminated.<\/li><\/ol>

                                  Article 15 \u2013 Liability<\/strong><\/p>

                                  1. Liability is limited to the invoice amount of the relevant assignment<\/strong>.<\/li>
                                  2. Indirect damage, consequential damage, or loss of income are excluded,
                                    unless there is intent or gross negligence.<\/li><\/ol>

                                    Article 16 \u2013 Force Majeure<\/strong><\/p>

                                    In case of force majeure (such as illness, technical malfunctions, or external circumstances),
                                    execution will be suspended without liability for damages.<\/p>

                                    Article 17 \u2013 Cancellation<\/strong><\/p>

                                    1. Cancellation by the client may lead to compensation for costs
                                      already incurred and reserved time.<\/li>
                                    2. Cancellation shortly before execution may result in invoicing
                                      a reasonable percentage of the assignment fee.<\/li><\/ol>

                                      Article 18 \u2013 Applicable Law<\/strong><\/p>

                                      1. All agreements are governed by Dutch law.<\/strong><\/li>
                                      2. Disputes will be submitted to the competent court in the Netherlands.<\/li><\/ol>
