General Terms and Conditions
Article 1 – Identity of the Service Provider
The contractor is:
Norbert Terlouw, established in Huissen, the Netherlands,
operating under the trade names:
- Norbert Terlouw – Voice Actor & Voice-over
- Booster Media Productions by Norbert Terlouw
Where these terms refer to “Norbert Terlouw”, this shall also include the above-mentioned trade names and all activities performed under them.
Article 2 – Applicability
- These general terms and conditions apply to all offers, agreements, deliveries, and services of Norbert Terlouw.
- Deviations are only valid if agreed upon in writing.
- The client’s general terms and conditions are expressly excluded, unless agreed otherwise in writing.
Article 3 – Offers and Agreement
- Quotations are non-binding and valid for 14 days, unless stated otherwise.
- An agreement is concluded after written or digital confirmation by the client.
- Norbert Terlouw reserves the right to refuse an assignment with stated reasons.
Article 4 – Services
Norbert Terlouw provides, among other things:
- voice acting and voice-over services;
- radio news, bulletins, and editorial audio;
- podcast and audio production;
- media productions and editing;
- AI-supported editorial and production processes (Twin Engine);
- engagement of freelancers or third parties under the responsibility of Norbert Terlouw.
Article 5 – Prices and Rates
- All prices are exclusive of VAT, unless stated otherwise.
- Additional costs (such as travel, location or supplementary studio costs) will be communicated in advance.
- Changes to script, planning, or assignment may lead to price adjustments.
Article 6 – Delivery and Execution
- Delivery times are determined in consultation.
- Delays caused by late or incorrect delivery of materials by the client are at the client’s expense.
- Audio and media productions are delivered in the agreed specifications and formats.
Article 7 – Obligations of the Client
The client:
- provides correct scripts, information and instructions in a timely manner;
- holds all necessary rights to supplied materials;
- indemnifies Norbert Terlouw against third-party claims;
- compensates additional costs resulting from changes or delays.
Article 8 – Retakes and Corrections
- Speaking errors are corrected free of charge.
- One retake on tone-of-voice is included, unless otherwise agreed.
- Text changes after recording or editing will be invoiced additionally.
Article 9 – Use and License of Voice-over and Audio
- Use is limited to the agreed purpose, medium and period.
- Reuse, expansion, or extension may lead to additional compensation.
- Publication is only permitted after full payment, unless otherwise agreed in writing.
Article 10 – Podcast and Media Productions (Ownership)
- For commissioned podcast and media productions, the client obtains, after full payment,
the ownership and right of use of:- raw recordings;
- edited final products;
- agreed deliverables.
- Norbert Terlouw retains the right to use parts of the work for
portfolio, promotional or demonstration purposes,
unless confidentiality has been agreed in writing. - Working methods, templates, editorial structures, and technical knowledge
remain the property of Norbert Terlouw.
Article 11 – Confidentiality and Handling of Materials
- Parties shall treat all confidential information strictly confidentially.
- Norbert Terlouw stores project material only:
- as long as necessary for execution, revision, or administration;
- in accordance with legal retention obligations.
- Further destruction or anonymisation of materials takes place
only if agreed in writing (for example via NDA).
Article 12 – AI-supported Services (Twin Engine)
- AI is used as a supporting tool within editorial, production, and workflow.
- Human final editing remains leading for content and publication.
- The client acknowledges AI support as part of the service provision.
- Final responsibility for publication rests with the client, unless otherwise agreed.
Article 13 – Intellectual Property
- Intellectual property rights remain with Norbert Terlouw,
except where Article 10 stipulates otherwise. - Unauthorised use may result in damages
or additional license fees.
Article 14 – Payment
- Invoices must be paid within 30 days.
- In case of late payment, statutory interest and collection costs may be charged.
- In case of non-payment, the use of delivered content may be suspended or terminated.
Article 15 – Liability
- Liability is limited to the invoice amount of the relevant assignment.
- Indirect damage, consequential damage, or loss of income are excluded,
unless there is intent or gross negligence.
Article 16 – Force Majeure
In case of force majeure (such as illness, technical malfunctions, or external circumstances),
execution will be suspended without liability for damages.
Article 17 – Cancellation
- Cancellation by the client may lead to compensation for costs
already incurred and reserved time. - Cancellation shortly before execution may result in invoicing
a reasonable percentage of the assignment fee.
Article 18 – Applicable Law
- All agreements are governed by Dutch law.
- Disputes will be submitted to the competent court in the Netherlands.
